1. Who we are
Y Lambda is the trade name of Ylambda Tech LLC, a limited liability company based in San Diego, California, United States ("Y Lambda," "we," "us," or "our"). These Terms of Service ("Terms") govern the consulting and software development services we provide and your use of this website. By engaging us or using this site, you agree to these Terms.
2. Services
We provide professional software services, including AI and large-language-model integration, full-stack web application development, and technical advisory. The specific scope, deliverables, timeline, and fees for any engagement are set out in a written proposal or statement of work agreed between you and us (a "Proposal"). Where a Proposal conflicts with these Terms, the Proposal controls for that engagement.
3. How engagements work
Most projects begin with a short scoping call, followed by a written Proposal describing the deliverables and pricing. Work begins once you approve the Proposal. Any changes to scope will be agreed in writing (email is sufficient) before the additional work is performed.
4. Fees and payment
Depending on the engagement, we bill either a fixed project fee or an hourly rate; advisory work is typically billed monthly. All fees are stated in US dollars and are exclusive of any applicable taxes.
Invoices are issued and paid securely through Stripe and are payable within the period stated on the invoice (typically 14 days). We do not require an upfront deposit; you are billed for work as it is completed. Late payments may result in a pause of work until the balance is settled.
5. Intellectual property
Upon full payment of the fees due for an engagement, you own the custom deliverables we create specifically for you under that engagement. We retain ownership of our pre-existing materials, tools, libraries, and general know-how, and grant you a non-exclusive licence to use those to the extent they are embedded in the deliverables. Third-party and open-source components remain subject to their respective licences.
6. Confidentiality
Each party agrees to keep the other party's non-public business and technical information confidential and to use it only as needed to perform or benefit from the services. This obligation does not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law.
7. Warranties and disclaimer
We perform our services in a professional and workmanlike manner. Except as expressly stated in a Proposal, the services and any deliverables are provided "as is," and we disclaim all other warranties, whether express or implied, including implied warranties of merchantability and fitness for a particular purpose. We do not warrant that any software will be error-free or that particular business outcomes will be achieved.
8. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to an engagement is limited to the fees you paid us for that engagement. We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business, even if advised of the possibility of such damages.
9. Termination
Either party may terminate an engagement at any time with written notice (email is sufficient). On termination, you agree to pay for all work performed up to the effective date of termination. Sections that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, and limitation of liability — will continue to apply.
10. Governing law
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. The state and federal courts located in San Diego County, California will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or our services.
11. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will not apply retroactively to an engagement already underway without your agreement.
